AFFILIATE AGREEMENT
This Access to Justice Partner Affiliate Agreement ("Agreement") is entered into by and between JusticeXpress Florida, L.L.C., a Florida limited liability company ("JusticeXpress"), and the person or business identified as the affiliate applicant ("Partner"). This Agreement governs Partner's participation in the JusticeXpress Florida Access to Justice Partner Program ("Program").
1. Appointment and Relationship
JusticeXpress appoints Partner as a non-exclusive, independent referral partner, subject to this Agreement. Partner may refer prospective customers to JusticeXpress Florida and may recruit additional persons or businesses to apply to become approved Partners in the Program.
Partner is an independent contractor. Nothing in this Agreement creates an employment, agency, franchise, partnership, fiduciary, joint venture, attorney-client, or legal representative relationship between JusticeXpress and Partner. Partner has no authority to bind JusticeXpress or make commitments on its behalf.
2. JusticeXpress Services and Program Purpose
JusticeXpress Florida provides Florida-focused legal information, automated legal forms, document preparation and related self-help services. JusticeXpress Florida is not a law firm and does not provide legal advice.
The Program is intended to permit approved community businesses and other Partners to introduce consumers to JusticeXpress Florida, distribute approved informational and promotional materials, and earn commissions on qualifying transactions attributed to the Partner under this Agreement.
3. Approved Referral Methods and AffiliateWP Tracking
Partner may use JusticeXpress-approved referral links, QR codes, rack cards, decals, countertop displays, digital graphics, websites, email communications and other materials approved by JusticeXpress.
JusticeXpress presently uses AffiliateWP or a successor affiliate-tracking system to identify referrals and calculate commissions. Partner will receive one or more unique referral links or identifiers. Partner is responsible for using the assigned links correctly. JusticeXpress's tracking records will control absent manifest error.
JusticeXpress does not guarantee that every visit or transaction will be trackable. Tracking may be affected by browser settings, deleted cookies, privacy technology, device changes, customer actions, technical failures or other circumstances outside JusticeXpress's reasonable control.
4. Direct Customer Referral Commissions
Partner may earn the direct customer referral commission rate established by JusticeXpress for qualifying purchases made by customers attributed to Partner's unique referral link, QR code or other approved tracking method.
The current direct commission rate, any promotional rate, cookie duration, minimum payout amount, payment schedule and product-specific exclusions may be displayed in the Partner dashboard or otherwise communicated by JusticeXpress. JusticeXpress may change prospective commission rates or program economics upon reasonable notice. No change will retroactively reduce a commission already earned on a completed qualifying transaction, except for refunds, chargebacks, fraud, duplicate attribution, cancellation or other adjustments authorized by this Agreement.
5. Partner Recruitment and Multi-Tier Commission Program
In addition to direct customer referral commissions, an approved Partner may recruit other persons or businesses to apply to become JusticeXpress Partners by using the recruiting Partner's unique Partner-recruitment referral link or other tracking method approved by JusticeXpress.
If a recruited applicant is approved by JusticeXpress and becomes an active Partner ("Recruited Partner"), the recruiting Partner will earn a five percent (5%) recruiting override commission on qualifying customer sales generated by that Recruited Partner.
For purposes of calculating the 5% recruiting override, the commissionable sales amount is the gross sale price of the qualifying transaction less a three percent (3%) credit-card processing allowance. Thus, by illustration only, a $100.00 qualifying gross sale produces a commissionable amount of $97.00 and a 5% recruiting override of $4.85.
A Partner may recruit an unlimited number of additional Partners, subject in every case to JusticeXpress approval and this Agreement. A Recruited Partner may also recruit additional approved Partners and may earn its own 5% recruiting override on qualifying sales generated by the Partners that it directly recruits. The same direct-recruiting relationship may continue through additional tiers of the network.
Unless JusticeXpress expressly provides otherwise in writing, each Partner's 5% recruiting override is based only on qualifying sales generated by Partners directly recruited and attributed to that Partner through the approved Partner-recruitment link or tracking method. A Partner does not receive an additional override merely because it is an ancestor of a Partner at a more remote tier.
The multi-tier structure compensates Partners for recruiting productive referral Partners; it does not compensate anyone merely for enrolling a Partner. No commission is earned solely from recruitment, application, approval, membership, or participation in the Program without a qualifying customer sale.
JusticeXpress may reject any proposed Partner, terminate or suspend any Partner, investigate suspicious recruiting or sales activity, and correct erroneous tier attribution. Recruiting commissions are subject to the same refund, cancellation, chargeback, fraud and payment rules applicable to direct commissions.
6. Qualifying Transactions; Refunds and Adjustments
A commission is earned only on a bona fide qualifying sale that is successfully paid, properly attributed, not excluded by JusticeXpress, and not subsequently refunded, reversed, cancelled, charged back or determined to be fraudulent or abusive.
JusticeXpress may reverse or offset commissions associated with refunds, chargebacks, duplicate transactions, self-referrals prohibited by JusticeXpress, fraudulent transactions, artificial traffic, unauthorized incentives or manipulation of the tracking system. If a commission has already been paid, JusticeXpress may offset the adjustment against future commissions to the extent permitted by law.
7. Payment of Commissions
JusticeXpress will pay approved commissions according to the payment schedule and minimum payout threshold then applicable to the Program. Partner is responsible for providing accurate payment and tax information and for all taxes arising from commissions paid to Partner.
JusticeXpress may withhold disputed amounts while investigating suspected fraud, tracking errors, violations of this Agreement or chargebacks. Undisputed amounts will be handled in the ordinary payment cycle.
8. Prohibition on Legal Advice and Unauthorized Practice of Law
Partner acknowledges and agrees that JusticeXpress Florida is not a law firm and does not provide legal advice. Partner's role is limited to referring consumers to JusticeXpress Florida and distributing or displaying approved informational and promotional materials.
Partner shall not, in connection with JusticeXpress or the Program: (a) provide legal advice of any kind; (b) interpret or apply law to a customer's individual facts; (c) recommend a particular legal strategy, remedy, form, document or course of action based on a customer's circumstances; (d) predict a legal outcome; (e) represent that Partner is acting as a lawyer, paralegal, legal advisor or legal representative of JusticeXpress; (f) answer substantive legal questions on behalf of JusticeXpress; or (g) make any representation inconsistent with the disclaimers published by JusticeXpress Florida.
Partner may direct a customer to publicly available JusticeXpress Florida information and may explain how to access the website or purchase a product, but may not convert that referral function into individualized legal advice.
Any violation of this Section is a material breach of this Agreement and grounds for immediate suspension or termination of the Partner relationship. JusticeXpress may also discontinue use of Partner's referral links and promotional materials and take other reasonable steps to protect consumers and the JusticeXpress brand.
9. Marketing, Advertising and Disclosures
Partner shall make truthful, accurate and non-misleading statements concerning JusticeXpress and the Program. Partner may not guarantee legal results, misstate the nature of JusticeXpress services, imply an attorney-client relationship, or make claims not authorized by JusticeXpress.
Partner shall make any disclosures required by applicable advertising, endorsement, consumer-protection, email, text-message, privacy or similar laws. Partner shall not engage in spam, deceptive advertising, misleading domain names, impersonation, unlawful telemarketing or other abusive promotional practices.
10. JusticeXpress Marks and Promotional Materials
JusticeXpress grants Partner a limited, revocable, non-exclusive, non-transferable license during the term of this Agreement to use JusticeXpress-approved names, trademarks, logos, Access to Justice Partner decals, rack cards, countertop displays, QR codes and other approved materials solely to participate in the Program.
Partner shall not alter JusticeXpress trademarks or create materials that reasonably imply sponsorship, legal representation or authority beyond the Program. Upon termination, Partner shall promptly discontinue use of JusticeXpress marks and remove or destroy Program materials upon request.
11. Confidentiality and Customer Information
Partner shall not request, collect or retain confidential legal information from a referred customer on behalf of JusticeXpress. Partner should direct customers to communicate directly with JusticeXpress through JusticeXpress systems.
Any nonpublic business, commission, technical or Program information disclosed by JusticeXpress and identified as confidential, or reasonably understood to be confidential, shall be protected from unauthorized disclosure.
12. Compliance with Law
Partner shall comply with all applicable federal, Florida and local laws and regulations governing Partner's business and promotional activities, including consumer protection, privacy, advertising and tax requirements. Partner is solely responsible for any licenses, registrations, permits or professional requirements applicable to Partner's own business.
13. Term; Suspension; Termination
This Agreement begins when JusticeXpress approves Partner's participation and continues until terminated.
Either party may terminate the Agreement upon written or electronic notice. JusticeXpress may immediately suspend or terminate Partner for providing legal advice, engaging in conduct that may constitute unauthorized practice of law, fraud, deceptive advertising, misuse of JusticeXpress intellectual property, manipulation of tracking or commissions, violation of law, material breach of this Agreement, or conduct reasonably likely to harm customers, JusticeXpress or the Program.
Termination ends Partner's right to recruit new Partners and earn commissions on transactions occurring after the effective termination date, except to the extent JusticeXpress expressly determines that a commission was fully earned before termination. No continuing or residual right to future commissions exists after termination unless JusticeXpress expressly agrees otherwise in writing.
14. No Guarantee of Income or Business Results
JusticeXpress makes no representation or guarantee concerning the amount of traffic, referrals, customer purchases, Partner recruitment, commissions, income or profits that Partner may generate. Any commission illustration is an example only and is not a promise of earnings.
15. Indemnification
Partner shall indemnify, defend and hold harmless JusticeXpress Florida, L.L.C. and its members, managers, officers, employees, contractors and agents from claims, liabilities, losses, damages, judgments, penalties, costs and reasonable attorneys' fees arising from Partner's breach of this Agreement, unlawful conduct, unauthorized legal advice, misrepresentation, advertising, infringement, negligence or acts or omissions in connection with the Program.
16. Limitation of Liability
To the fullest extent permitted by law, JusticeXpress shall not be liable for indirect, incidental, consequential, special, exemplary or punitive damages, lost profits, lost business opportunities or loss of data arising from the Program or this Agreement. JusticeXpress does not warrant uninterrupted operation of AffiliateWP, referral tracking, the website or third-party payment systems.
17. Governing Law and Venue
This Agreement shall be governed by and construed under the laws of the State of Florida, without regard to conflict-of-law principles. Exclusive venue for any action or proceeding arising from or relating to this Agreement or the Program shall lie in the state courts having jurisdiction in or serving Port St. Lucie, Florida, or the applicable federal court having jurisdiction over Port St. Lucie, Florida. Each party consents to personal jurisdiction and venue in those courts.
18. Notices and Electronic Communications
Notices may be delivered by email, through the Partner dashboard, or by other written means to the contact information maintained by the parties. Partner agrees that Program notices, commission statements and amendments may be communicated electronically.
19. Amendments
JusticeXpress may amend this Agreement prospectively upon reasonable electronic notice. If Partner does not agree to a material amendment, Partner may terminate participation before the amendment becomes effective. Continued participation after the effective date constitutes acceptance of the amended terms.
20. Assignment; Severability; Waiver
Partner may not assign or transfer this Agreement, a Partner account, recruiting relationship, referral link or right to commissions without JusticeXpress's prior written consent. JusticeXpress may assign this Agreement in connection with a merger, reorganization, sale of assets or transfer of the Program.
If any provision is held invalid or unenforceable, the remaining provisions will remain in effect. Failure to enforce a provision on one occasion is not a waiver of future enforcement.
21. Entire Agreement; Electronic Signatures
This Agreement constitutes the entire agreement between JusticeXpress and Partner concerning participation in the Program and supersedes prior oral or written discussions concerning that relationship. No separate affiliate policy manual is incorporated into this Agreement.
Electronic acceptance, electronic signatures and counterparts are permitted and shall have the same effect as an original signature.
PARTNER ACKNOWLEDGMENT AND SIGNATURES
By signing or electronically accepting this Agreement, Partner acknowledges that Partner has read and understands the Agreement, including the prohibition on providing legal advice and the terms governing direct and multi-tier recruiting commissions.
